1. Introduction and Acceptance
Welcome to Her Horizon Coaching.
These Terms & Conditions (“Terms”) govern your access to and use of our website, digital products, educational resources, workshops, coaching programmes, strategic advisory services and other offerings.
Throughout these Terms, “Her Horizon”, “we”, “us” and “our” refer to Her Horizon Coaching, operated by Dawn Mardon.
By purchasing, registering for, accessing or using our products or services, you agree to the terms applicable to that activity.
These Terms should be read together with our Privacy Policy, Refund Policy, Disclaimer and any separate written agreement applicable to your purchase or engagement.
Where a separate written agreement applies to a particular service, that agreement governs the specific engagement and these Terms apply to matters not otherwise addressed, subject to applicable law.
Nothing in these Terms excludes or limits rights that cannot lawfully be excluded under applicable legislation.
2. Eligibility
Our paid products and services are intended for individuals aged 18 years or older who are legally capable of entering into binding agreements.
By purchasing or participating, you confirm that the information you provide is accurate, current and complete.
Where you purchase services on behalf of a business or other legal entity, you confirm that you have the authority to enter into the agreement on its behalf.
We reserve the right to decline an engagement where there is a legitimate legal, professional, ethical or commercial reason to do so, subject to applicable law.
3. Products and Services
Her Horizon provides offerings that may include:

Digital products, downloadable resources and educational materials.

Online courses, recorded content and masterclasses.

Workshops, live events and group learning experiences.

Individual and group coaching programmes.

Business advisory, consulting and diagnostic services.

Other educational or professional development services.
The scope, format, duration, deliverables and inclusions of each offering are described on the relevant product page, booking confirmation or individual service agreement.
We may introduce, modify or discontinue offerings from time to time.
Changes to existing purchases or confirmed engagements will be handled in accordance with the applicable agreement and statutory rights.
4. Pricing and Currency
All prices are displayed in the currency indicated on the relevant product or checkout page.
Prices may change without notice, but changes will not retrospectively affect confirmed purchases except where expressly agreed or permitted by law.
Where customers purchase in a currency different from that of their payment account, banks or payment providers may apply exchange rates, currency conversion charges or international transaction fees.
These charges are determined by the relevant provider and are outside our control.
Any applicable taxes and additional charges will be disclosed as required by law.
5. Payment Terms
5.1 Payment in Full
Where payment in full is required, the total purchase price is payable at checkout or by the date specified in the relevant agreement.
Access to purchased products or services may be conditional on successful payment.
5.2 Payment Plans
Where a payment plan is offered, the client agrees to purchase the relevant product, programme or service for the total price disclosed at the time of enrolment.
A payment plan is an arrangement to pay a fixed total purchase price over an agreed period. It is not a month-to-month subscription, membership or independently cancellable monthly service.
Each payment represents a portion of the total agreed purchase price.
By selecting a payment plan, the client agrees to the payment schedule and total amount communicated before purchase.
The payment plan does not automatically create a right to cancel, pause, downgrade or reduce the remaining payments.
A decision not to attend, participate in, access or complete a purchased programme or service does not automatically terminate the payment obligations.
Any cancellation, early termination, adjustment or refund remains subject to the applicable service agreement and statutory consumer rights.
5.3 Payment Schedule
Where a payment plan applies:

The total purchase price will be disclosed before enrolment.

The number and amount of payments will be communicated in advance.

Payment dates will be specified at checkout or in the applicable agreement.

Payments may be collected automatically where the client has authorised recurring charges.

Any difference between the pay-in-full price and payment-plan price will be disclosed before purchase.
Clients are responsible for maintaining a valid payment method and ensuring payments are made when due.
5.4 Failed or Missed Payments
If a scheduled payment fails or remains unpaid, Her Horizon may notify the client and provide a reasonable opportunity to resolve the outstanding amount.
Where payment remains outstanding after appropriate notice, we may suspend access to services, materials or future sessions where permitted by the applicable agreement and law.
We reserve the right to pursue lawful recovery of outstanding amounts.
Any interest, collection costs or additional charges will be subject to the applicable agreement and relevant legislation.
Suspension of access does not automatically extinguish lawful outstanding payment obligations.
5.5 Payment Disputes and Chargebacks
If you believe a payment has been processed incorrectly or have concerns about a charge, please contact us so that we can investigate and attempt to resolve the matter.
We encourage clients to contact us before initiating a payment dispute where practical.
Nothing in these Terms restricts the right to raise a legitimate payment dispute, request a lawful refund or exercise applicable consumer rights.
6. Refunds, Cancellations and Transfers
All purchases are subject to our Refund Policy, any applicable individual agreement and relevant consumer protection legislation.
6.1 Digital Products
Digital products and educational resources are generally non-refundable once access has been provided or delivery has occurred, except where required by law.
6.2 Workshops and Live Events
Workshop and live-event bookings are intended to be transferable rather than refundable, subject to applicable statutory rights.
Where a participant is unable to attend:

A transfer to another participant may be requested, subject to prior written approval.

A transfer to a future workshop or event may be requested, subject to availability and any applicable price difference.

Transfer requests must be submitted in writing at least 48 hours before the scheduled start of the event.

Requests received within 48 hours may be considered at our discretion.

Non-attendance without prior notice does not automatically entitle a participant to a refund, credit or transfer.
If Her Horizon cancels a paid event, participants will be offered a full refund or the option to transfer to a rescheduled event.
Where an event is postponed or materially changed, we will communicate the available options and honour applicable statutory rights.
6.3 Coaching and Advisory Services
Coaching, consulting, diagnostic and advisory services may involve reserved time, preparation, personalised analysis and individually tailored deliverables.
Cancellation and refund arrangements are governed by the applicable service agreement or, where no separate agreement exists, our Refund Policy.
Fees for services already delivered are generally non-refundable, except where required by law or the relevant agreement.
6.4 Statutory Rights
Nothing in these Terms limits any applicable statutory cancellation, cooling-off, refund or other consumer rights.
Where a statutory right conflicts with a provision of these Terms, the statutory right takes precedence.
7. Delivery and Access
Products and services will be delivered according to the descriptions and arrangements communicated at purchase.
Delivery may take place through online platforms, email, video conferencing, digital downloads, recordings, in-person sessions or other agreed methods.
Where delivery depends on information, documentation or participation supplied by the client, the delivery timeframe may begin only once the required information has been received, where this has been communicated.
Clients are responsible for providing necessary information within a reasonable period.
If delivery is delayed or materially affected, we will communicate the relevant circumstances and any appropriate revised arrangements.
8. Access to Paid Content
Access to purchased digital products, programmes and educational materials is granted to the individual or business identified in the purchase confirmation, subject to any permitted users expressly included in the offering.
Login credentials, private recordings, paid resources and access links may not be shared with unauthorised third parties.
Access is personal, limited, non-exclusive and non-transferable unless otherwise agreed in writing.
We may restrict or suspend access where there is a material breach of these conditions, subject to applicable law.
Purchasing access does not transfer ownership of the underlying content or intellectual property.
9. Intellectual Property
All original content and materials developed or provided by Her Horizon, including proprietary frameworks, methodologies, workbooks, templates, recordings, presentations, graphics, written resources, teaching materials and educational content, remain the intellectual property of Her Horizon or their respective rights holders.
Unless expressly agreed otherwise in writing, clients receive a limited licence to use purchased or provided materials for their own personal or internal business purposes.
Without prior written permission, clients may not:

Copy, reproduce, publish or distribute our materials.

Resell, sublicense or commercially exploit our content.
-
Share paid resources with unauthorised third parties.

Represent our frameworks or materials as their own original work.
-
Use our proprietary materials to create, market or deliver competing commercial products or services.

Record, reproduce or distribute private sessions, workshops or programme content without permission.
Clients are permitted to apply the knowledge, principles and strategies learned through our services within their own businesses, provided they do not infringe our intellectual property rights.
No intellectual property ownership is transferred through a purchase unless expressly agreed in writing.
10. Client Responsibilities
Coaching and advisory services are collaborative.
Clients agree to:

Provide accurate and complete information relevant to the engagement.

Participate in scheduled sessions and agreed activities.

Communicate respectfully and professionally.

Take responsibility for their own business decisions and implementation.
-
Seek appropriately qualified professional advice where necessary.
-
Respect agreed communication boundaries and service arrangements.

Comply with applicable laws and regulatory obligations.
Her Horizon provides guidance, strategic perspective, recommendations and educational support but does not assume responsibility for managing or operating a client's business.
11. Appointments and Communication
Appointments and sessions are subject to the scheduling and rescheduling arrangements communicated at booking or in the relevant service agreement.
Clients should provide reasonable notice when requesting changes.
Late cancellations, missed appointments and repeated rescheduling may be subject to the provisions of the applicable agreement.
Access to Her Horizon outside scheduled sessions, including through email, messaging or other communication channels, is limited to the support arrangements expressly included in the purchased service.
Unless otherwise agreed, purchasing a service does not create an entitlement to unlimited communication or immediate responses.
We reserve the right to establish reasonable communication boundaries to ensure effective service delivery.
12. Confidentiality
Her Horizon recognises that clients may disclose confidential business, financial, operational and commercially sensitive information during engagements.
We will take reasonable steps to protect confidential information and will not knowingly disclose it to unauthorised third parties, except:

With the client's permission.

Where necessary for agreed service delivery and appropriate safeguards apply.

Where disclosure is required by law or lawful regulatory process.

Where information is already lawfully public or independently known.

Where disclosure is otherwise permitted under an applicable agreement.
Clients participating in group programmes, workshops or other shared learning environments are expected to respect the confidentiality of information disclosed by other participants.
However, Her Horizon cannot guarantee the confidentiality practices or conduct of independent participants.
Clients should exercise discretion when sharing commercially sensitive information in group settings.
More detailed confidentiality obligations may be included in individual service agreements.
13. Personal Information and Privacy
We collect and process personal information for purposes including enquiries, purchases, bookings, service delivery, payments, communications and business administration.
Personal information is handled in accordance with our Privacy Policy and applicable data protection legislation, including the Protection of Personal Information Act 4 of 2013 (POPIA).
Third-party service providers may process information on our behalf where necessary for legitimate business purposes, subject to appropriate safeguards.
Marketing communications will be sent in accordance with applicable law and relevant consent or communication preferences.
Recipients may unsubscribe from marketing communications using the provided unsubscribe mechanism or by contacting us.
14. Testimonials and Client Feedback
We may invite clients to provide testimonials, feedback or reviews.
Identifiable testimonials, client information or business results will not be published without appropriate permission or another lawful basis.
Where permission is granted, approved testimonials may be used for marketing and promotional purposes within the scope of that permission.
Anonymous or aggregated insights may be used where individuals and businesses cannot reasonably be identified and confidentiality obligations are respected.
Participation in our services does not automatically grant permission to disclose confidential information or identifiable client results.
15. Educational Purpose and Professional Advice
Her Horizon provides business coaching, education and strategic advisory services.
Unless expressly agreed otherwise and supported by the necessary qualifications or authorisations, our services do not constitute regulated legal, tax, accounting, investment or financial advisory services.
Although business finances, profitability, cash flow, commercial strategy and operational decisions may be discussed, these discussions do not replace advice from appropriately qualified professionals.
Clients should seek independent specialist advice where necessary.
16. No Guarantee of Results
We are committed to delivering thoughtful, professional and valuable services.
However, business results depend on numerous factors, including market conditions, economic circumstances, financial resources, leadership decisions and implementation.
We do not guarantee specific revenue, profitability, financial returns, business growth or other commercial outcomes.
Any projections, scenarios, testimonials, examples or case studies are illustrative and do not guarantee similar results.
Clients remain responsible for evaluating recommendations and making decisions appropriate to their own circumstances.

17. Acceptable Website and Service Use
You agree to use our website, platforms and services lawfully and respectfully.
You may not:

Access restricted systems without authorisation.

Interfere with the security or operation of our website.

Introduce malicious software or harmful code.

Copy, scrape or systematically extract content for unauthorised commercial purposes.

Infringe our intellectual property or third-party rights.

Submit unlawful, fraudulent, misleading, abusive or harmful content.

Misrepresent your identity or authority.

Share unauthorised access to paid materials.
We may take reasonable steps to prevent misuse, including restricting access where legally permissible.
18. Third-Party Platforms and Services
Our website and services may use third-party providers for payments, bookings, communications, video conferencing, digital content and other business functions.
These providers operate under their own terms and privacy practices.
While we take reasonable care in selecting providers, we do not control every aspect of their systems or operations.
Where third-party interruptions materially affect purchased services, we will take reasonable steps to resolve the disruption and provide any remedy required by law.
19. Changes to Events and Services
We may make reasonable changes to the delivery format, schedule, venue, content or administrative arrangements of an offering where necessary.
Where a change materially affects a confirmed purchase, we will notify affected clients and communicate the available options.
If we cancel a paid event, participants will be offered a full refund or the option to transfer to a rescheduled event.
Where circumstances beyond our reasonable control affect delivery, we will seek reasonable alternative arrangements while respecting applicable contractual and statutory rights.
20. Suspension or Termination of Services
We may suspend or terminate access to services where there is a material breach of these Terms or an applicable service agreement.
This may include serious misconduct, deliberate misuse of materials, infringement of intellectual property rights or failure to meet agreed payment obligations.
Where appropriate, we will provide notice and a reasonable opportunity to remedy the breach.
Suspension or termination will be carried out in accordance with applicable law and contractual obligations.
Any outstanding payment obligations, refunds or cancellation charges following termination will be determined by the applicable agreement, our Refund Policy and relevant legislation.
21. Client Misconduct and Third-Party Claims
To the extent permitted by applicable law, clients are responsible for losses or third-party claims arising directly from their unlawful conduct, deliberate misuse of Her Horizon's services or materials, or infringement of third-party rights.
Nothing in this provision requires a client to indemnify Her Horizon for losses caused by Her Horizon's own unlawful conduct, negligence or breach of its obligations.
Nothing in this provision limits rights that cannot lawfully be excluded.
22. Limitation of Liability
To the extent permitted by applicable law, Her Horizon is not responsible for losses arising solely from a client's independent business decisions, implementation choices or reliance on general educational content without appropriate consideration of their circumstances.
We do not accept responsibility for commercial outcomes dependent on factors outside our reasonable control.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or any other liability that cannot lawfully be excluded or restricted.
Nothing in these Terms excludes, restricts or replaces statutory consumer rights or remedies.
23. Events Beyond Our Reasonable Control
Her Horizon will not be responsible for delays or failures in performance to the extent caused by circumstances beyond our reasonable control, including natural disasters, severe weather, widespread infrastructure failures, governmental restrictions or significant third-party service disruptions.
Where such circumstances affect delivery, we will communicate with affected clients and take reasonable steps to minimise disruption.
Any cancellation, rescheduling, refund or other remedy will be handled in accordance with applicable agreements and law.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory consumer protections that apply.
If a dispute arises, we encourage clients to contact us first so that we can attempt to resolve the matter promptly and fairly.
Nothing in these Terms prevents a client from exercising statutory rights, approaching an appropriate regulatory or consumer protection body, or pursuing remedies through a court or other forum with lawful jurisdiction.
25. Changes to These Terms
We may update these Terms from time to time to reflect changes in our business, services, legal requirements or operational practices.
The latest version will be published on our website with its date of revision.
Material changes affecting an existing engagement will be handled in accordance with the applicable agreement and law.
Changes will not retrospectively remove rights that have already arisen.
26. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Failure to enforce a provision at any particular time does not automatically constitute a waiver of the right to enforce it later.
These Terms, together with the policies and agreements expressly incorporated into a transaction, constitute the applicable terms governing that transaction.
Any amendments to a separate written service agreement must be made in accordance with that agreement.
